Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Prime Enterprises USA website (the "Site") and all purchases of products, including corrugated boxes, tapes, and other packaging supplies (the "Products"). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site or place orders.

Prime Enterprises USA ("we," "us," or "our") reserves the right to update these Terms at any time. Changes will be posted here with the updated date. Continued use constitutes acceptance.

1. Eligibility

You must be a business or authorized representative purchasing for commercial/wholesale use. The Site and Products are not for personal/consumer use. We may refuse service or cancel orders at our discretion.

2. Orders and Acceptance

All orders are subject to acceptance. We may reject or cancel any order (even after confirmation) due to pricing errors, stock issues, or other reasons. Order confirmation does not guarantee acceptance.

3. Pricing and Payment

  • Prices are in USD and exclude taxes, shipping, duties, or fees (added at checkout).

  • We reserve the right to change prices without notice (changes apply to future orders).

  • Payment terms: As shown at checkout or per your account (e.g., net 30 for approved credit). Late payments may incur interest (1.5% per month or max allowed by law) and collection fees.

  • We accept major credit cards; credit card payments may include processing fees.

4. Shipping and Delivery

See our separate Shipping Policy for details. Delivery estimates are not guaranteed. Risk of loss passes to you upon handover to the carrier.

5. Inspection, Returns, and Claims

  • Inspect Products immediately upon receipt.

  • Report shortages, damage, or nonconformity in writing within 2 business days (5 days for concealed issues), with photos.

  • Returns require prior approval; eligible items may be returned unused in original packaging within 30 days (restocking fees may apply; shipping costs non-refundable).

  • No returns on custom or special-order items unless defective.

6. Warranties and Disclaimers

We warrant Products conform to our standard specifications at delivery. THIS IS THE SOLE WARRANTY; ALL OTHER WARRANTIES (EXPRESS, IMPLIED, MERCHANTABILITY, FITNESS FOR PURPOSE) ARE DISCLAIMED TO THE MAXIMUM EXTENT ALLOWED BY LAW.

7. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages (including lost profits or business interruption), even if advised of the possibility. Our total liability shall not exceed the price paid for the specific Products giving rise to the claim.

8. Intellectual Property

All content on the Site (text, images, logos) is our property or licensed to us. You may not copy, reproduce, or use without written permission.

9. Force Majeure

We are not liable for delays or failures due to events beyond our control (e.g., strikes, natural disasters, supply issues, carrier delays).

 

10. Governing Law and Disputes

These Terms are governed by New York law (without regard to conflict of laws). Any disputes shall be resolved exclusively in courts located in New York County, New York.

11. Miscellaneous

  • If any provision is invalid, the remainder remains enforceable.

  • No waiver of any breach constitutes a waiver of subsequent breaches.

  • These Terms, plus our Shipping Policy and Privacy Policy, constitute the entire agreement.
